Only ₹60 crore of the ₹428 crore reaches the company

This is the detail retail investors most often miss. The total issue is around ₹428 crore, but only the fresh issue portion of up to ₹60 crore comes to Glass Wall Systems.

The remaining ₹367.89 crore is an offer for sale (OFS), where existing shareholders sell their own shares. That money goes to the sellers, not to the company's balance sheet.

Promoters Jawahar Hariram Hemrajani and Eshan Jawahar Hemrajani, along with investor shareholder India Business Excellence Fund IIA, are selling 2,02,13,722 shares through the OFS.

Of the ₹60 crore fresh issue, ₹50 crore is earmarked for a glass processing unit at the company's Vile Bhagad facility in Maharashtra. The rest goes to general corporate purposes.

That unit is a backward integration move the company currently buys processed glass from outside suppliers and wants to make it in-house. It is also a new type of manufacturing for a business that today mainly fabricates and installs facades, so execution will be worth tracking.

The OFS is roughly half the size proposed in the draft papers

When Glass Wall Systems filed its draft red herring prospectus in September 2025, the OFS was proposed at up to 4,02,34,552 shares. The final offer is 2,02,13,722 shares.

The fresh issue stayed unchanged at ₹60 crore. So the selling shareholders have chosen to offload roughly half of what they had originally kept on the table.

Companies commonly trim an OFS between the draft and final filing based on market conditions and feedback during the SEBI review. The company has not published a reason for the reduction.

What the company actually does

Glass Wall Systems (India) was incorporated in 2002 and provides facade and fenestration solutions the outer glass-and-metal skin of a building, plus its windows and doors.

It works on premium residential and commercial projects, and its manufacturing base is the Vile Bhagad facility in Maharashtra. Beyond India, it has project work in the United States and Australia.

FY 2025-26 was a sharp step up

For the financial year ended 31 March 2026, the company reported total income of about ₹471.4 crore, against roughly ₹288.1 crore in FY 2024-25 growth of about 64%.

Net profit rose to about ₹83.8 crore from about ₹57.5 crore, an increase of roughly 46%.

One caution on reading these numbers: facade work is project-based, so revenue tends to be lumpy from year to year rather than steadily rising. A single large contract finishing or slipping can move a full year's figures.
