IDBI Bank shares fell as much as 6.5% on October 15 after the Centre approved the sale of a 60.72% stake to Fairfax Financial Holdings at ₹81 a share, below market expectations.
Deal Terms: Who Is Selling and How Much
The Cabinet Committee on Economic Affairs approved the sale of a controlling stake in IDBI Bank to Canada’s Fairfax Financial Holdings on Wednesday, October 14, after market hours. The total consideration is ₹52,878 crore for 60.72% of the lender. Business Standard describes it as the largest foreign investment in India’s financial services sector.
The stake is being sold jointly by the government and Life Insurance Corporation of India (LIC):
| Seller | Stake sold | Stake retained |
| Government of India | 30.48% | 15% |
| LIC | 30.24% | 19% |
Both sellers will withdraw their nominee directors from the IDBI Bank board. The Cabinet approval is only one step, because regulatory approvals and other formalities remain. The announcement brings a four-year privatisation process to a decisive stage, according to Business Standard.
Why the ₹81 Price Disappointed the Market
IDBI Bank closed at ₹90.4 on Wednesday, so the deal price of ₹81 a share is more than 10% below the previous close. Independent market expert Ambareesh Baliga said the market had expected ₹100 to ₹110 a share, closer to where the stock traded before the West Asia war earlier in 2026. He called the ₹81 price a disappointment for the market.
On the BSE, the stock traded 6.2% lower at ₹84.82 at 10 AM on Thursday, with 34.11 million shares changing hands. The day’s low was ₹84.51, down 6.5%. The fall stretched IDBI Bank’s year-to-date decline to 19%. According to technical analyst Harish Jujarey of Prithvi Finmart, the stock had risen 9% on Wednesday, before the announcement.
IDBI Bank was an underperformer even before the news. Through October 14, the stock was down 13.4% for the year, against a 7.8% loss for the NSE 500 index.

The Bank Fairfax Is Buying Into
IDBI Bank’s finances have improved considerably. As of the June quarter of FY27, the lender reported:
- Total deposits: ₹3,25,757 crore
- Net advances: ₹2,58,968 crore
- Provision coverage ratio: 99.31%
The provision coverage ratio measures how much of a bank’s bad loans is covered by money set aside for losses. A figure of 99.31% means IDBI Bank has provided for almost all of its reported bad loans.
Seema Srivastava, senior research analyst at SMC Global, said the transaction is a significant ownership change that could improve efficiency, governance and capital allocation over time. She added that the immediate share price reaction may stay volatile, with some investors likely to book profits.
RBI Rules That Shape Fairfax’s Control
Foreign direct investment in private sector banks is allowed up to 49% through the automatic route and up to 74% with government approval, according to the Department of Financial Services. IDBI Bank became a private sector bank after the Reserve Bank of India reclassified it following LIC’s controlling stake purchase in 2019. The deal therefore falls under the private bank framework rather than the 20% FDI ceiling for public sector banks.
Fairfax’s 60.72% stake sits within the 74% ceiling but above the 49% automatic threshold, so RBI requirements apply. Several conditions follow:
- Major shareholders need prior RBI approval under Section 12B of the Banking Regulation Act, 1949, and must meet fit-and-proper criteria.
- Fairfax’s voting rights will be capped at 26%, despite its 60.72% equity stake.
- Fairfax must reduce its equity holding to 26% within 15 years under the promoter ownership framework.
- Fairfax already has a substantial interest in CSB Bank, and the overlap must be resolved in line with regulatory conditions.
The rules treat equity, voting rights and control as separate things. Equity is the economic interest, voting rights decide how much say a shareholder has in votes, and control covers influence over the board, management and strategy. The IDBI Bank deal shows that India permits majority foreign ownership of a private bank, but not unrestricted voting power.
What to Watch Next
The next milestones are the RBI approval process and how Fairfax resolves its CSB Bank overlap. On the market side, Harish Jujarey noted that IDBI Bank shares have moved in a range of ₹80 to ₹95 over the past few weeks. Whether the stock settles after the price shock will become clearer in the coming sessions. For shareholders, the more lasting questions concern governance under a new majority owner and how quickly the regulatory steps are completed.
